This licensing agreement (“Agreement”) is hereby entered into on the day of submission by and between LA Underground Radio and its officers, directors, subsidiaries, affiliates, agents, successors, and assigns (collectively, the“Website”) and the undersigned licensor (“Licensor/s” or "I/we" or "Me/us" or "Myself/ourselves").

I/we grants permission to the LA Underground Radio and its officers, directors, subsidiaries, affiliates, agents, successors, and assigns to take and use audio, video, or visual image content of me/us; and/or interview me/us and use my quotes and information I/we provide; and/or use any audio/video/visual image/concept ideas produced by me/us, which I/we represent that I/we took or otherwise created and which are not an impermissible or otherwise unlawful copy, duplication, or reproduction of another person’s work. Content includes, but is not limited to, text, software, scripts, graphics, photos, digital images, drawings, renderings, voices, sounds, music, videos, audio recordings, audiovisual combinations, and any associated or accompanying written communications or descriptions. I/we grant the right and permission to record, use, publish, stream live, offer for sale, or otherwise distribute any audio or video interview or session with guest. Such right and permission includes, but is not limited to, the name of the guest, recorded audio or video, photograph or likeness, biographical information, handouts or any material based upon or derived therefrom.

I/we further agree that without notifying me, LA Underground Radio and its officers, directors, subsidiaries, affiliates, agents, successors, and assigns may use the audio/video/visual image/interview Content at its sole discretion in any print, electronic, or other media or format, including, but not limited to, approved websites, print or digital publications, presentations, videos, film, promotions, broadcasts, advertisements, posters, video signage, radio, social media, as well as for certain approved uses.

I/we waive any right to inspect or approve the finished images or any printed or electronic matter that may be used with them. I/we further acknowledge that I/we voluntarily agree to participate in and/or provide audio/video/visual image/interview Content to the LA Underground Radio podcast productions without the promise of compensation or remuneration in any form whatsoever, and I/we waive any claim for compensation or remuneration of any kind for LA Underground Radio use or publication for the audio/video/visual image/interview Content.

I/we release LA Underground Radio and its officers, directors, subsidiaries, affiliates, agents, successors, and assigns authorized to publish, broadcast, and/or distribute a finished product containing the audio/video/visual image/interview Content, from any claims, damages, or liability, including attorneys’ fees, that I/we may ever have in connection with the taking or use of the audio/video/visual image/interview Content or material used with the audio/video/visual image/interview Content, including, but not limited to, any and all claims for copyright infringement, invasion of privacy, defamation, false light, or misappropriation of name, likeness, or image, including, without limitation, claims based upon defamation.

1.The named person/s hereby warrants being the legal copyright owner in the Work attached.

The person/s submitting this form (“person/s”) hereby grants permission to LA Underground Radio (“Website”) and his/her/their subsidiary of choice to make reproductions of the Work in any size or quantity for the following use:

person/s hereby grants LA Underground Radio (“Website”), and their agents or subsidiaries the absolute right and permission to use photographic portraits, pictures, digital images or video of person/s, or in which person/s may be included in whole or part, or reproductions thereof in color or otherwise for any lawful purpose whatsoever, including but not limited to use in any Website publication or on the Website websites, without payment or any other consideration. person/s hereby waives any rights that person/s may have to inspect and/or approve the finished product or the copy that may be used in connection therewith, wherein person/s’s likeness appears, or the use to which it may be applied. person/s hereby releases, discharges, and agrees to indemnify and hold harmless the Website, and their agents or subsidiaries from all claims, demands, and causes of action that person/s have or may have by reason of this authorization or use of person/s’s photographic portraits, pictures, digital images or videos, including any liability by virtue of any blurring, distortion, alteration, optical illusion, or use in composite form, whether intentional or otherwise, that may occur or be produced in the taking of said images or videos, or in processing tending towards the completion of the finished product, including publication on the internet, in brochures, or any other advertisements or promotional materials. person/s represents that person/s is at least eighteen (18) years of age and person/s is fully competent to sign this Release.

THIS IS A RELEASE OF LEGAL RIGHTS.

The validity of this copyright release document is in perpetual. Websites reserves the right to modify or delete person/s's content as it sees fit and without notifying person/s.

1. Media and Text Copyright Release ("Work") Minor ("My Child").

1. MUSICAL COMPOSITION LICENSING AGREEMENT.

This licensing agreement (“Agreement”) is hereby entered into on the day of submission by and between LA Underground Radio, including its subsidiaries, designees, and assigns (collectively, the“Website”) and the undersigned Licensor/s/s (“Licensor/s”).
1A. License. Subject to the terms set forth herein, Licensor/s hereby grants Website a non-exclusive, worldwide, and royalty-free license with respect to the vocal and musical compositions set forth on Exhibit “A,” attached hereto and made part of this Agreement by this reference (collectively, the “Compositions”). Pursuant to such license, Website shall be permitted, without limitation, to:
(a) Host and stream the Compositions to third party users via the Website (including, without limitation, via mobile applications and other streaming applications or platforms), including, without limitation, abbreviated clips or samples featuring the Compositions;
(b) Modify, alter, or edit the Compositions at Website’s sole discretion (including, without limitation, with respect to the formatting and naming of files associated with or embodying the Compositions); and
(c) Utilize the Compositions in any Website marketing and promotion efforts.
1B. Limitations on License. Notwithstanding the foregoing, Website shall not:
(a) Create an option for Website users to download the Compositions;
(b) Incorporate the Compositions into any other copyrightable works. (Notwithstanding the foregoing, Website shall be permitted to allow users to create customizable playlists featuring the Compositions alongside third party musical compositions, and to use the Compositions as described in Subparagraph 1A(c) herein); nor
(c) Re-license the Compositions, in whole or in part, to any third party, except as permitted by the assignment provisions set forth in Paragraph 7 herein.
2. Removal. Website reserves the right, at its sole discretion and without notice to Licensor/s, to remove, block, or delete the Compositions, in whole or in part, from the Website for any reason. Further, Website shall remove the Compositions, in whole or in part, from Website within seven (7) days of Licensor/s’s written request.
3. Name & Likeness. Licensor/s grants Website the non-exclusive, worldwide right to use Licensor/s’s name (both legal and professional, and whether presently or hereafter used by Licensor/s), likenesses, other identification, and biographical material concerning Licensor/s in connection with the Compositions.
4. Consideration. For the avoidance of doubt, Website shall not pay Licensor/s any fees, royalties, or back-end compensation of any kind in connection with the Compositions and the licenses and permissions granted in this Agreement. For the further avoidance of doubt, Website shall not be required to make any payment whatsoever to any performing rights organization (PRO) (e.g. ASCAP, BMI, SoundExchange) and/or any NFT (Non-Frangible Token) in connection with the Compositions licensed hereunder. Website’s hosting and streaming of the Compositions shall be deemed sufficient consideration hereunder.
5. Warranties & Representations. Licensor/s hereby warrants, represents, and agrees that:
(a) Licensor/s is not under any disability, restriction, or prohibition, whether contractual or otherwise, with respect to Licensor/s’s right to execute this Agreement, to grant the rights granted hereunder, and to perform each and every term and provision hereof.
(b) Licensor/s is the sole owner and/or administrator of all rights in and to the Compositions (or Licensor/s has obtained any and all necessary third party licenses and permissions) and no selections, materials, ideas, or other properties furnished or selected by the Licensor/s and embodied or contained in or used in connection with the Compositions will violate or infringe upon any common law or statutory right of any person, firm or corporation, including, without limitation, contractual rights, copyrights, and rights of privacy. Website reserves the right to block or remove Licensor/s from Website if Licensor/s is found to have violated any terms in this Paragraph.
(c) Licensor/s agrees to and does hereby indemnify, save, and hold Website, its designees, licensees and assigns harmless from any and all damages, liabilities, costs, losses and expenses (including legal costs and reasonable attorneys' fees) arising out of or connected with any claim, demand or action by a third party which is inconsistent with any of the warranties, representations, or covenants made by Licensor/s in this Agreement.
6. Entire Agreement. This Agreement sets forth the entire understanding between the parties hereto relating to the subject matter hereof. No modification, amendment, waiver, termination or discharge of this Agreement or of any of the terms or provisions hereof shall be binding upon any of the parties hereto unless confirmed by a written instrument signed by Website and by Licensor/s. No waiver by Website or Licensor/s of any term or provision of this Agreement or of any default hereunder shall affect either party’s respective rights thereafter to enforce such term or provision or to exercise any right or remedy in the event of any other default, whether similar or not. 7. Assignment. At its sole discretion, Website shall have the right to assign this Agreement, in whole or in part, to any entity or third party without the consent or approval of Licensor/s. Licensor/s shall not have the right to assign any part if this Agreement hereunder unless permitted by Website in writing.
8. No Partnership; Joint Venture. Nothing herein contained shall constitute a partnership or a joint venture between Website and Licensor/s. No party hereto shall hold itself out contrary to the terms of this Paragraph, and neither Website nor Licensor/s shall become liable for any representation, act, or omission of the other contrary to the provisions hereof. This Agreement shall not be deemed to give any right or remedy whatsoever to any third party unless such right or remedy is specifically granted in writing to the third party.
9. Severability. If any provision of this Agreement shall be held void, voidable, invalid, or inoperative, no other provision of this Agreement shall be affected as a result thereof, and accordingly, the remaining provisions of this Agreement shall remain in full force and effect as though such void, voidable, invalid, or inoperative provision had not been contained herein.
10. Governing Law; Disputes. This Agreement is subject to the laws of the State of California, without regard to any conflict of law principles. Any controversy, dispute, or claim of whatever nature arising out of, in connection with, or in relation to the interpretation, performance or breach of this Agreement shall be settled at the request of any party to this Agreement by final and binding arbitration (“Arbitration”) administered by JAMS, Inc. (“JAMS”). The Arbitration shall be conducted in Los Angeles County, California. There shall be a single arbitrator (“Arbitrator”). The Arbitration shall be administered by and in accordance with the then-existing rules of practice and procedure of JAMS Optional Expedited Arbitration Procedures (“OEAP”). OEAP are accessible from the JAMS website, www.jamsadr.com.

AGREED and ACCEPTED as of the date of submission.

5 EXHIBIT “A” This Exhibit “A” is made part of that licensing agreement (“Agreement”) entered into by and between LA Underground Radio, including its subsidiaries, designees, and assigns (collectively, the “Website”) and the submitter (“Licensor/s”). The files and information submitted shall constitute the list of Compositions. The parties hereby agree to the list of Compositions.
